Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the Ansys Digital website and the services we provide. Please read them carefully. By using our website, requesting a quote, or engaging us, you agree to be bound by these Terms. If you do not agree, do not use our website or services.

1. Acceptance of terms

These Terms form a legally binding agreement between you ("Client", "you") and Manish Prajapati (Ansys), trading as Ansys Digital ("Ansys Digital", "we", "us"). Where a separate signed proposal, statement of work or service agreement exists, it applies together with these Terms; if there is a conflict, the signed document prevails for that engagement.

2. Our services

We provide Shopify design, development, redesign, theme customisation, performance optimisation, migration, landing pages, conversion optimisation, and related maintenance and support services. We reserve the right to modify, refuse or discontinue any service at our discretion.

3. Quotes, scope & changes

Quotes are based on the scope agreed at the time and are valid for 30 days unless stated otherwise. Any work outside the agreed scope ("out-of-scope" or "change requests") will be quoted and billed separately and may affect timelines. We are not obligated to begin work until the agreed deposit is received.

4. Client responsibilities

You agree to: provide accurate information, content, assets and access needed for the project; respond to requests and approvals promptly; ensure you own or are licensed to use all materials you provide; and comply with all applicable laws and the terms of any third-party platform. Delays caused by you may extend timelines and incur additional fees.

5. Fees & payment

  • Fees are as set out in your quote, proposal or invoice, and are exclusive of applicable taxes (including GST) unless stated.
  • Projects typically require an upfront, non-refundable deposit before work begins, with the balance due per the agreed milestones or on completion.
  • Invoices are payable within the period stated. Late payments may accrue interest and result in suspension of work.
  • All payments are in the currency stated on the invoice. Bank, gateway or currency-conversion charges are your responsibility.

6. Timelines

Any timelines are good-faith estimates, not guarantees. We are not liable for delays caused by you, third parties, platform outages, or events beyond our reasonable control.

7. Intellectual property

Until full payment is received, all deliverables, designs, code and materials remain our property. Upon full and final payment, ownership of the final deliverables produced specifically for you transfers to you, except for: our pre-existing tools, frameworks, libraries, know-how and reusable components (which we license to you on a non-exclusive basis for use with your deliverables); and any third-party or open-source materials, which remain subject to their own licences. We may showcase non-confidential work in our portfolio and marketing unless agreed otherwise in writing.

8. Third-party platforms & software

Our services rely on third-party platforms, themes, apps, plugins and APIs (including Shopify). We do not control and are not responsible for their availability, performance, pricing, changes, or discontinuation. Their use is subject to their own terms, and any fees they charge are your responsibility.

9. Revisions & approval

The number of included revision rounds is stated in your quote or proposal. Additional revisions are billable. Items are deemed approved if you do not provide feedback within the agreed review window. Once you approve a deliverable or a project goes live, subsequent changes are treated as new work.

10. No warranties

Our services and deliverables are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant or guarantee any specific results — including sales, revenue, traffic, conversion rates, search rankings, or uninterrupted, error-free, or fully secure operation.

11. Limitation of liability

To the fullest extent permitted by law, Ansys Digital and its owner, team and contractors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or relating to our website, services or these Terms, even if advised of the possibility.

Our total aggregate liability for any and all claims relating to an engagement shall not exceed the total fees actually paid by you to us for the specific service giving rise to the claim during the three (3) months preceding the event.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Indemnification

You agree to indemnify, defend and hold harmless Ansys Digital, its owner, employees and contractors from and against any claims, damages, liabilities, losses and expenses (including reasonable legal fees) arising from: your content or materials; your breach of these Terms or any law; your use of the deliverables; or infringement of any third-party rights by materials you provided.

13. Confidentiality

Each party agrees to keep the other's non-public business information confidential and to use it only for the purpose of the engagement. This does not apply to information that is public, independently developed, or required to be disclosed by law.

14. Suspension & termination

We may suspend or terminate services if you breach these Terms, fail to pay, or provide unlawful or infringing materials. On termination, you remain responsible for fees for work performed and costs incurred up to the termination date. Deposits and payments for completed work are non-refundable (see our Refund & Cancellation Policy).

15. Force majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, internet or platform outages, government action, power failures, or pandemics.

16. Governing law & disputes

These Terms are governed by the laws of India. Subject to the below, the courts at Kanpur, Uttar Pradesh, India shall have exclusive jurisdiction. The parties will first attempt to resolve any dispute amicably in good faith. Any unresolved dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in Uttar Pradesh, India, conducted in English.

17. General

Nothing in these Terms limits or excludes any statutory consumer or business-protection rights you may have under the mandatory laws of your country of residence. If any provision is held invalid, the remainder stays in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them. These Terms, together with any signed proposal and our other policies, are the entire agreement between us and supersede prior discussions. We may update these Terms; the "Last updated" date reflects the current version, and continued use constitutes acceptance.
